Grocery Chain CEO Ousted After Ethics Probe

Kroger announced on Monday that Rodney McMullen, its longtime chief executive officer, has stepped down after an investigation into his personal conduct revealed inconsistencies with the company's ethics policy. The grocery chain stated that it became aware of "certain personal conduct" by McMullen on February 21.

In response, Kroger immediately hired independent counsel to conduct a thorough investigation into the matter. While the company did not provide specific details about the conduct that led to McMullen's resignation, it emphasized that the issue was unrelated to the company's financial performance and did not involve any of its employees.

In the wake of McMullen's departure, Ronald "Ron" Sargent, the former CEO of Staples and current lead director at Kroger, has stepped into the role as interim chairman and CEO. Sargent, who has been with the company in various capacities, will hold the position until a permanent replacement is chosen. The company's board of directors has already formed a search committee to find a new, permanent chief executive.

Grocery Chain Sued

The transition comes at a critical time for the company, and the board is expected to move quickly in its search for McMullen's successor.

Following the announcement, Kroger's shares dipped by 1% on Monday morning. McMullen's resignation comes on the heels of a significant regulatory setback for the company. The Federal Trade Commission recently blocked Kroger's $25 billion merger with rival supermarket chain Albertsons, a deal that would have created the largest supermarket chain in the U.S.

The merger was blocked on antitrust grounds, citing concerns that the deal would reduce competition and harm consumers. In response, Albertsons filed a lawsuit against Kroger, alleging that the grocery chain failed to make "best efforts" to secure regulatory approval for the merger.

McMullen served as CEO of Kroger for more than a decade, having joined the company in 1978 as a part-time stock clerk in Kentucky. He built a long and successful career within the company before his resignation. Sargent will remain in the interim CEO role until a permanent successor is named. Meanwhile, Kroger is set to report its fourth-quarter and full-year earnings for 2024 on Thursday.

Per multiple reports, the chain has indicated that it expects its full-year sales, excluding fuel, to be at the high end of expectations, and its adjusted earnings per share are anticipated to exceed forecasts.
